Terms and Conditions

1.Parties and definitions

1.1These terms and conditions (“Terms”) govern access to and use of WWZS (“What Would Zan Say”), offered at wwzs.zanperrion.com (the “Service”).

1.2The Service is operated by Ars Amorata International SRL, a company incorporated under the laws of Romania, having its registered office at Calea Moșilor 88, Sector 3, Bucharest, Romania, registered with the Trade Register under number J2023024518405, sole registration code (CUI) 49314839 (“the Company”, “we” or “us”).

1.3In these Terms: “Member” means a person who holds an account with the Service; “Membership” means paid access to the Service for the period stated at the time of purchase; “Trial” means the limited number of free messages offered to a new Member before Membership; “Answer” means any text or audio generated by the Service; and “Work” means the books, recordings, talks, writings and other material of Zan Perrion from which the Service is drawn.

1.4A Member accepts these Terms on entering the Service for the first time. Separate terms govern zanperrion.com, the private programmes offered there, and arsamorata.com. Nothing in these Terms applies to them, and nothing in their terms applies to the Service, save that membership of the Guild may include access to the Service as described at clause 5.5.

2.Nature of the Service

2.1The Service is an artificial-intelligence mentor. Its Answers are generated automatically by a language model instructed to answer in the manner of Zan Perrion and supplied with passages from the Work. The Service is not Zan Perrion, and an Answer is not a statement, opinion or personal advice of Zan Perrion, save where it is expressly presented as a quotation from the Work. Where the Service speaks aloud, the voice is a synthetic reproduction made with Zan Perrion’s consent.

2.2The Service is supplied as a digital service. It includes no correspondence with Zan Perrion, no live instruction, and no access to any programme, event or community, save as clause 5.5 provides.

2.3The Service does not constitute, and shall not be construed as constituting, psychotherapy, psychological counselling, psychiatric treatment, medical treatment, or professional advice of a legal, financial or medical character. No qualification, licence or registration in any such discipline is claimed or implied.

2.4The Service is not an emergency or crisis service and is not monitored by any person in real time. A Member in crisis, or concerned for the safety of any person, shall contact his local emergency number or an appropriate service at once, and shall not rely upon the Service.

2.5Answers may be inaccurate, incomplete or unsuited to a Member’s circumstances. Information the Service obtains from the web, including events, venues, dates and prices, may be out of date. The Member shall exercise his own judgement and verify any matter of consequence before relying upon it.

3.No warranty as to outcome

3.1The Company makes no representation, warranty or guarantee, whether express or implied, as to any result, outcome or benefit arising from use of the Service.

3.2Without limitation to clause 3.1, no representation is made as to the future conduct, decisions, feelings or responses of any third party, nor as to the Member’s future relationships, health, mental state, income, or personal circumstances.

3.3The Member acknowledges that all decisions taken by him, whether or not following an Answer, and the consequences of such decisions, remain his sole responsibility.

4.Eligibility and account

4.1The Member warrants that he is aged eighteen years or over. The Company shall close without refund any account found to be held by a person below that age.

4.2An account is personal to the Member and is not transferable. Access shall not be shared with, resold to, or made available to any other person, and the Member shall keep secure the electronic mail account through which he logs in.

4.3One Trial is available to each person. The Company may decline to open an account, or to grant a Trial, in its reasonable discretion, including where it reasonably believes that a Trial has already been taken.

5.Membership, price and payment

5.1The price of Membership is that stated at the time of purchase. Prices are quoted in United States dollars. Where the Member is a consumer, the price stated is inclusive of any value added tax or other tax which may be applicable, which is calculated by reference to his country of residence.

5.2A contract for Membership is concluded upon the Company’s confirmation of the order and receipt of payment. Payment is taken in full at the beginning of each period of Membership.

5.3Membership renews automatically at the end of each period for a further period of the same length, at the price then in force, unless the Member cancels before the renewal date. The Company shall remind the Member by electronic mail not fewer than seven days before any annual renewal, and shall give not fewer than thirty days’ notice of any change of price, which shall apply only from the next renewal.

5.4The Member may cancel at any time in his profile. Cancellation takes effect at the end of the period already paid, until which the Member retains access. Save as clauses 6 and 13.3 provide, no refund is made for any part of a period.

5.5Members of the Guild have access to the Service, without separate charge, for as long as their membership of the Guild continues. The Company may also grant complimentary access to any person at its discretion.

6.Right of withdrawal

6.1Where the Member is a consumer within the meaning of Government Emergency Ordinance no. 34/2014, he has the right to withdraw from a contract for Membership within fourteen calendar days of its conclusion, without giving any reason.

6.2To exercise that right the Member shall inform the Company by an unequivocal statement sent to info@arsamorata.com before the expiry of the period. The Company shall reimburse all payments received without undue delay and in any event within fourteen days of being so informed, by the means of payment used.

6.3Where the Member has expressly requested that the Service begin within the withdrawal period, and withdraws after it has begun, he shall pay an amount proportionate to the part of the period of Membership supplied before he informed the Company of his withdrawal, which amount shall be deducted from the reimbursement. That request is obtained at the point of purchase.

6.4The right of withdrawal does not arise upon the automatic renewal of a Membership.

7.Fair use and availability

7.1Use of the Service is subject to a fair-use limit on the number of messages that may be sent in a day, which is shown within the Service and may be varied from time to time by the Company, provided that the limit shall always permit ordinary personal use.

7.2The Company may improve, vary or replace the language models, features and content of the Service from time to time, provided that no such variation materially diminishes the Service taken as a whole during a period already paid for.

7.3The Service is provided as it stands. The Company does not warrant that it will be available without interruption or free from error, and may suspend it for maintenance, for security, or for reasons beyond its control.

8.Conduct

8.1The Member shall use the Service lawfully, for his own personal purposes, and in keeping with its spirit, which is the honouring of women and the living of a beautiful life.

8.2The Member shall not:

9.Suspension and closure

9.1Where in the reasonable opinion of the Company a Member has committed a serious or repeated breach of clause 4 or clause 8, or his use of the Service places any person at risk of harm, the Company may suspend his account, or close it and decline any future account from the same electronic mail address. Save where urgency requires otherwise, the Company shall first warn the Member and give him the opportunity to explain.

9.2No refund is made upon closure for serious breach. Where an account is closed otherwise than for breach, the Company shall refund the unused part of the period paid for.

9.3A Member may delete his account at any time in his profile, upon which his data are erased as the Privacy Notice describes. Deletion of an account does not of itself cancel a renewal or entitle the Member to a refund, save as clause 6 provides.

10.Intellectual property

10.1All intellectual property rights subsisting in the Service, in the Work, in Zan Perrion’s name, likeness and voice, and in the selection and arrangement of the material comprised in the Service, are and remain vested in the Company, in Zan Perrion, or in their licensors.

10.2ARS AMORATA®, THE AMORATI®, CASA AMORATA®, and the Amorati logo are registered trademarks. No licence to use any trademark is granted by these Terms.

10.3The Member may keep and use Answers for his own personal, non-commercial purposes. He shall not publish, sell, or otherwise make available any Answer, or any audio produced by the Service, as the words, opinions or voice of Zan Perrion, nor alter any such audio, nor remove any notice that it was produced by artificial intelligence.

10.4The Member retains whatever rights he holds in what he writes. He grants the Company a licence to process it solely for the purpose of providing the Service to him and, where he has so elected, for the review described in the Privacy Notice.

11.Personal data

11.1The processing of personal data by the Company is governed by the Privacy Notice and the Cookie Notice, which form part of these Terms. No Member’s conversations are used to train any artificial-intelligence model.

12.Third-party sites

12.1Answers may contain hyperlinks to websites operated by third parties, including venues and events found by search. Such links are provided for convenience and do not constitute an endorsement. The Company exercises no control over such websites and accepts no responsibility for their content or their handling of personal data.

13.Liability

13.1Nothing in these Terms excludes or limits the liability of the Company for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability which may not lawfully be excluded or limited, nor affects the statutory rights of a consumer.

13.2Subject to clause 13.1, the total aggregate liability of the Company arising out of or in connection with the Service, whether in contract, tort including negligence, breach of statutory duty or otherwise, shall not exceed the sums paid by the Member for the Service in the twelve months preceding the event giving rise to the claim.

13.3Subject to clause 13.1, the Company shall not be liable for any indirect or consequential loss, nor for any loss of profit, revenue, opportunity or goodwill, howsoever arising. Should the Company discontinue the Service, it shall give not fewer than thirty days’ notice and refund the unused part of any period paid for.

14.Governing law and jurisdiction

14.1These Terms and any dispute arising out of or in connection with them, including any non-contractual dispute, are governed by the law of Romania.

14.2The courts of Bucharest, Romania shall have exclusive jurisdiction, save that where the Member is a consumer habitually resident in another Member State of the European Union, nothing in this clause deprives him of the protection afforded by the mandatory provisions of the law of that State, nor of the right to bring proceedings in the courts of that State.

14.3A Member who is a consumer may submit a complaint to the National Authority for Consumer Protection (Autoritatea Națională pentru Protecția Consumatorilor), which operates a procedure for the alternative resolution of consumer disputes pursuant to Government Ordinance no. 38/2015. A consumer resident in another Member State may seek assistance from the European Consumer Centres Network.

15.General

15.1These Terms, together with the Privacy Notice and Cookie Notice, constitute the entire agreement between the parties in respect of their subject matter and supersede all prior representations and understandings.

15.2If any provision is held invalid or unenforceable, that provision shall be severed and the remainder shall continue in full force.

15.3No failure or delay by the Company in exercising any right constitutes a waiver of that right.

15.4The Company may amend these Terms from time to time. Notice of any material amendment shall be given within the Service or by electronic mail not fewer than thirty days before it takes effect, and a Member who does not accept it may cancel before then and receive a refund of the unused part of any period paid for. The version in force is that published upon this page.
